1. Acceptance of Terms
By accessing and using the services of DIGIBROS ENTERPRISES ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and conditions set forth below. If you do not agree to these terms, please do not use our services.
2. Services Description
We provide technology services including but not limited to: mobile application development for iOS and Android platforms, website development, cloud services integration, payment gateway integration, AI integrations, and Power Apps development. All services are provided subject to these terms and conditions.
3. Use of Services
You agree to use our services only for lawful purposes and in accordance with these Terms and Conditions. You agree not to use our services: (a) in any way that violates any applicable law or regulation; (b) to transmit any malicious code or harmful content; (c) to impersonate or attempt to impersonate the Company or any employee; (d) in any way that infringes upon the rights of others.
4. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of DIGIBROS ENTERPRISES or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5. Client Projects and Deliverables
Upon completion of a project and full payment, the client will receive ownership of the deliverables as specified in the project agreement. The Company retains the right to use the project for portfolio and marketing purposes unless otherwise agreed in writing.
6. Payment Terms
Payment terms will be specified in individual project agreements. Generally, projects may require an upfront deposit, with remaining payments due upon milestone completion or project delivery. Late payments may incur additional charges as specified in the project agreement.
7. Project Timelines
Project timelines are estimates and may vary based on project complexity, client feedback, and unforeseen circumstances. We will communicate any significant delays and work with clients to adjust timelines as needed.
8. Revisions and Changes
Reasonable revisions are included in project quotes. Additional revisions or significant changes to project scope may incur additional charges. All change requests should be submitted in writing and approved by both parties.
9. Warranty and Support
We provide warranty support for a period specified in the project agreement, typically 30-90 days after project delivery. Support includes bug fixes and minor adjustments. Major feature additions or redesigns are not covered under warranty and will be quoted separately.
10. Limitation of Liability
To the maximum extent permitted by law, DIGIBROS ENTERPRISES shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
11. Indemnification
You agree to indemnify and hold harmless DIGIBROS ENTERPRISES, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services or violation of these Terms and Conditions.
12. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes business information, technical specifications, and any other sensitive data.
13. Termination
Either party may terminate a project agreement with written notice. Upon termination, the client will be responsible for payment of all work completed up to the termination date. The Company reserves the right to terminate services immediately in case of breach of these terms.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, or government actions.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, specifically the laws of Tamil Nadu. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
16. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
